IMPORTANT NOTICE

• THE SERVICES ARE NOT AVAILABLE TO “RESTRICTED PERSONS” (DEFINED BELOW). USE OF A VPN OR OTHER MEANS TO CIRCUMVENT GEO-RESTRICTIONS IS STRICTLY PROHIBITED.
• THESE TERMS CONTAIN A CLASS ACTION WAIVER AND A MANDATORY ARBITRATION AGREEMENT (SECTION 22) THAT MAY AFFECT YOUR LEGAL RIGHTS.

1. Introduction

These Terms of Service (“Terms” or “Agreement”) form a binding contract between you and MoonRush Labs LLC (“MoonRush,” “we,” “our,” or “us”) governing your access to and use of:

• the MoonRush mobile application (the “App”),
• the MoonRush website at https://moonrush.space (the “Website”),
• any related content, features, tools, services, and software (collectively, the “Services”).

By accessing or using any portion of the Services, or by clicking “I Agree” (or similar) where presented, you agree to be bound by these Terms and all documents incorporated by reference, including our Privacy Policy, User Guidelines, and any feature-specific addenda (e.g., Rewards/Referral terms) (together, “Ancillary Terms”).

If you do not agree, you must not use the Services.

2. Amendments to These Terms

We may revise these Terms at any time in our sole discretion. Changes are effective immediately upon posting. Your continued use of the Services after updated Terms are posted constitutes acceptance of the updated Terms.

If you do not accept changes, you must stop using the Services.

3. Description of the Services

MoonRush is a social finance platform designed to help users discover trends, observe public on-chain activity, and interact socially with other users.

3.1 Social & Informational Nature; No Offer

The Services may display information related to digital assets, tokens, decentralized protocols, on-chain transactions, market metrics, social signals, and user-generated content (“Content”).

All Content is provided for general informational and educational purposes only. Nothing on the Services constitutes:

• financial, investment, legal, tax, or accounting advice;
• an offer to buy, sell, or exchange any digital asset;
• a solicitation or recommendation to engage in any transaction.

3.2 Not a Broker, Exchange, Custodian, or Advisor

MoonRush is not:

• a broker-dealer, exchange, or marketplace operator;
• an investment adviser, commodity trading advisor, or fiduciary;
• a custodian or hosted wallet provider.

MoonRush does not custody funds or private keys, and does not execute transactions on its own infrastructure. Where the Services enable a user to initiate transactions, such transactions occur on third-party networks (blockchains) and/or via third-party protocols.

3.3 Feature Availability

Certain features may be unavailable depending on your jurisdiction, device, or other factors. We may limit or disable access to any feature at any time.

4. Eligibility; Accounts

4.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract. If you use the Services on behalf of an entity, you represent that you have authority to bind that entity.

4.2 Account Registration; Accuracy

You may be required to create an account and provide information. You agree that all information you provide is accurate and complete, and you will keep it updated.

4.3 Account Security

You are responsible for:

• maintaining the confidentiality of login credentials;
• all activity under your account, whether authorized or not.

We are not responsible for losses resulting from unauthorized account access due to your failure to secure your credentials.

4.4 One Account Rule

Unless we approve otherwise in writing, you may create only one account.

5. Restricted Persons; Sanctions; Geo-Blocking

5.1 Restricted Persons

The Services are not offered to, and must not be used by, any individual or entity that is:

• located in, resident in, incorporated in, or has a principal place of business in any jurisdiction where digital asset activity is prohibited or restricted;
• subject to economic or trade sanctions;
• listed on sanctions or restricted persons lists maintained by the U.S., U.K., EU, UN, or other applicable authorities;
• owned or controlled by, or acting on behalf of, any such sanctioned person or entity

(collectively, “Restricted Persons”).

5.2 Sanctions Compliance Representation

By using the Services, you represent and warrant that:

• you are not a Restricted Person; and
• you will not access or use the Services from a restricted jurisdiction.

5.3 No Circumvention

Use of VPNs, proxies, or other mechanisms to circumvent geographic restrictions is strictly prohibited.

5.4 Verification & Screening

We may conduct screening checks (directly or through third parties) to comply with law, sanctions, and risk management. We may deny service based on confidential risk criteria and are not obligated to disclose such criteria.

6. Wallets; Keys; Non-Custodial Nature

6.1 Non-Custodial Wallet Connection

You may connect a third-party wallet (“Web3 Wallet”). Your relationship with your wallet provider is governed by that provider’s terms, not ours.

6.2 Private Keys & Seed Phrases

MoonRush does not store or control your private keys or seed phrase. You are solely responsible for securing your wallet and establishing backups/recovery.

6.3 No Liability for Key Loss

To the fullest extent permitted by law, MoonRush disclaims liability for any loss arising from: loss or compromise of keys/seed phrase; phishing, malware, SIM swaps, social engineering; device loss or account compromise.

7. Third-Party Protocols, Smart Contracts, and Services

7.1 Third-Party Smart Contracts

Transactions may interact with third-party smart contracts and protocols. MoonRush does not own or control these protocols and does not guarantee their security, availability, or functionality. Protocols may change via forks, upgrades, or governance actions.

We may suspend or discontinue support for any protocol or asset at any time.

7.2 Third-Party Services; No Endorsement

The Services may include links or access to third-party services (DEXs, RPC providers, data feeds, analytics, social channels such as Telegram/X, etc.) (“Third-Party Services”). We do not endorse or control Third-Party Services and are not responsible for them.

7.3 Release Regarding Third Parties

You agree that any use of Third-Party Services is at your own risk and you release MoonRush from liability arising from Third-Party Services, to the maximum extent permitted by law.

8. Content; User-Generated Content; Community

8.1 User Content

Users may post or share content (messages, comments, profiles, images, links, trade activity, reactions, etc.) (“User Content”). You are responsible for your User Content and interactions with others.

8.2 License Grant

By submitting User Content, you grant MoonRush a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, distribute, and process your User Content to operate, improve, market, and provide the Services, subject to the Privacy Policy.

8.3 Moderation

We may (but are not obligated to) monitor, remove, or restrict access to content that violates these Terms or our User Guidelines.

8.4 Reporting

We may provide reporting tools. False reporting or abuse of reporting tools may result in enforcement action.

9. No Financial Advice; Non-Reliance; Fiduciary Disclaimer

MoonRush does not provide investment advice or recommendations. Nothing on the Services is a substitute for professional advice.

You acknowledge that you do not rely on MoonRush communications as advice or recommendations.

No fiduciary relationship is created between you and MoonRush. We disclaim any fiduciary duties to the fullest extent permitted by law.

10. Risk Disclosures

You acknowledge and accept risks, including without limitation:

• Digital assets are volatile and may lose value rapidly or permanently.
• Transactions may be irreversible; sending to the wrong address can result in permanent loss.
• Smart contracts may contain vulnerabilities; exploits and hacks may occur.
• Networks can be congested; transactions can fail or be delayed.
• Protocol forks or governance actions may change asset properties.
• Market manipulation, insider activity, scams, and phishing are common.
• Public blockchains store data publicly and immutably; privacy may be limited.
• Regulatory changes may restrict access, features, or legality of certain actions.
• Third-party service providers may fail, degrade, suspend, or change terms.
• Your device or internet connectivity may fail, causing missed actions or losses.

You represent that you understand these risks and can bear financial loss.

11. Prohibited Uses

You agree not to use the Services to engage in:

11.1 Unlawful Activity

Any activity that violates applicable laws, regulations, sanctions, export controls, AML/CFT obligations, or that involves proceeds of crime.

11.2 Fraud and Deception

Impersonation, deceptive performance claims, false trade results, fake engagement, sybil attacks, bot amplification, wash-trading signals, or any manipulation.

11.3 Market Abuse

Pump-and-dump coordination, spoofing, layering, front-running, wash trading, quote stuffing, or other market manipulation practices.

11.4 Abuse and Harm

Harassment, threats, hate speech, doxxing, extortion, stalking, or harm to minors.

11.5 Security Attacks

Probing, scanning, reverse engineering, decompiling, malware distribution, DoS attacks, bypassing security, unauthorized access.

11.6 Data Scraping

Automated extraction of data without permission, including bots/crawlers that burden systems.

11.7 IP Infringement

Posting infringing content or using MoonRush marks without permission.

11.8 Circumvention

Using VPN/proxy to bypass geo restrictions; using the Services as a Restricted Person.

We may suspend or terminate accounts for violations.

12. Fees; Pricing; Taxes

12.1 Fees

MoonRush may charge service fees for certain features (“Fees”). Fee schedules may be posted in-app or on the Website, but may change at any time.

You may also incur third-party fees (network gas fees, DEX fees, slippage, wallet provider fees). We do not control or disclose third-party fees.

12.2 No Refunds

Unless required by law, Fees are non-refundable.

12.3 Taxes

You are solely responsible for determining and paying taxes arising from your activity. MoonRush does not provide tax advice.

13. Rewards and Referral Programs

MoonRush may offer a rewards or referral program. Terms may be updated, rewards may be modified, withheld, or revoked for fraud/abuse, and MoonRush may interpret program rules in its sole discretion.

We may limit the number of rewards and may require verification to prevent abuse.

14. Intellectual Property

The Services and all materials (software, UI/UX, trademarks, logos, designs, data compilations, and “look and feel”) are owned by MoonRush or licensors.

You may not copy, modify, create derivative works, reverse engineer, resell, lease, distribute, or create competing products using MoonRush materials.

15. Feedback

Feedback you provide is non-confidential. You grant MoonRush the right to use feedback without restriction or compensation.

16. Promotions

MoonRush may run promotions. We may set eligibility criteria and revoke or modify promotions at any time. Promotions do not constitute investment recommendations.

17. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free from harmful components.

18. Limitation of Liability

To the fullest extent permitted by law, MoonRush and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or financial losses.

In any event, MoonRush’s aggregate liability will not exceed the greater of $100 or the amount you paid to MoonRush in the prior six (6) months.

19. Indemnification

You agree to defend, indemnify, and hold harmless MoonRush and its affiliates from claims arising out of your: breach of these Terms; use of the Services; violation of law; User Content; interaction with Third-Party Services.

20. Suspension; Termination; Enforcement

We may suspend or terminate access at any time for any reason, including risk management, legal compliance, or policy enforcement. We may cooperate with law enforcement and disclose information as required by law.

21. Time Limit to Bring Claims

Any claim arising out of these Terms must be brought within one (1) year of the event giving rise to the claim, unless prohibited by applicable law.

22. Dispute Resolution; Class Action Waiver; Arbitration

22.1 Class Action Waiver

Disputes must be brought in your individual capacity only. You waive any right to participate in class, collective, or representative proceedings.

22.2 Informal Resolution

Before arbitration, you agree to attempt informal resolution by emailing contact@moonrush.space with details and evidence. If not resolved within 60 days, either party may commence arbitration.

22.3 Arbitration Agreement

Except for excluded claims, disputes shall be resolved by binding arbitration administered by [TBD: ICC / AAA / NAM] under its rules, in English, and conducted remotely where permitted.

22.4 Opt-Out (Optional)

If permitted, you may opt out of arbitration within 30 days of first accepting these Terms by emailing contact@moonrush.space with your name, address, and clear opt-out statement.

22.5 Excluded Claims

Either party may seek injunctive relief for IP infringement or misuse in a court of competent jurisdiction.

22.6 Severability

If any portion of this section is unenforceable, it shall be severed and the remainder shall remain effective.

23. Governing Law; Jurisdiction

These Terms are governed by the laws of [TBD], excluding conflicts rules. For disputes not subject to arbitration, courts in [TBD] have exclusive jurisdiction.

24. Miscellaneous

• Assignment: You may not assign rights without consent; MoonRush may assign freely.
• Severability: Invalid provisions are severed; remainder survives.
• Force Majeure: No liability for events beyond reasonable control.
• Notices: Notices may be provided electronically.
• Entire Agreement: These Terms + incorporated policies constitute entire agreement.
• Translation: English controls; translations are for convenience.
